Terms and Conditions of Sale
1) General
The general terms and conditions shall apply to every contract for the sale of goods by Vision-UK to the customer and shall supersede other terms and conditions issued by ourselves.
2) Prices
a) Unless otherwise stated all prices quoted are exclusive of VAT, carriage and packaging and shall be the price ruling at the point of sale.
b) Any special prices quoted for prompt payment terms must be adhered to or prices will be surcharged to normal prices in force.
3) Payments
a)Payment shall be made at the time of supply unless account facilities have been pre-arranged in writing.
b) Where account facilities have been made available, payment must be made by the end of the month of invoice, or special payment terms have been applied: within terms shown on invoice.
c) If payment is not received in full by due date Vision-UK reserve the right to suspend supply. On accounts of 60 days and older Vision-UK reserves the right to charge interest on the account at the rate of 7.5% above the base rate of NATWEST Bank PLC at the time.
d) For payments over 120 days late an interest charge of 12.5% above the base rate of NATWEST Bank Plc shall be made.
e) There will be a charge of £6.50 made on each occasion where a cheque given in payment has to be represented or is initially refused.
f) There will be a charge of £10 made if a cheque is returned unpaid.
g) If payments are not made within our terms, Vision-UK reserves the right to debit any credit card details given by the customer.
4) Delivery
a) All delivery times and dates for supply are estimated only and Vision-UK shall not be liable for any loss, cost, damages or expense suffered whatsoever.
b) All deliveries shall be suspended if a credit account exceeds the terms agreed.
c) In the event that goods are delivered at a place agreed with the customer but no representative of the customer is available Vision-UK reserve the right to deposit the goods as agreed and shall not be liable in respect to loss or damage resulting there from.
d) Customers wishing to send a representative to collect goods on their behalf should provide a written list of nominated persons authorised to collect goods. In absence of such instructions the customer shall be liable for all goods issued in good faith on their account.
5) Shortages
a) The customer shall inspect all goods and inform Vision-UK in writing within two days of receipt, any shortages. In the case of a whole consignment not being delivered, within 7 days of placing the order.
b) If a customer shall fail to give notice as required, then the goods shall be deemed to be satisfactory.
6) Cancellation
The customer shall be liable for the full cost of the goods where the goods have been ordered specially for that customer (non-stock item)
7) Returns
a) Vision-UK reserve the right to make a 10% handling charge on goods correctly supplied and subsequently returned. This shall exclude special order items in (6).
b) Vision -UK reserve the right to refuse returned goods for credit/exchange if product and its packaging are not in satisfactory condition.
c) Any non-faulty returned product must be made within seven days of purchase.
8) Repairs
Vision-UK reserves the right to determine if a product is to be replaced or repaired.
9) Sub contracting
Vision-UK reserves the right to sub contract all or part of its obligation.
10) Warranty
a) All new products shall be supplied with 12 Months Warranty unless otherwise stated. Unless it can be demonstrated that a system was installed at a later date the warranty period is deemed to start from the date of dispatch from Vision UK. The maximum warranty period from date of dispatch is 24 months.
b) Any reconditioned/ special items will be supplied with a three-month warranty unless otherwise stated.
c) Vision UK reserves the right to determine if a Warranty Return is to be replaced or repaired.
11) Consequential loss
Vision-UK hereby excludes to the extent permitted by law any liability for:
a) Consequential loss or damage caused or arising out of the use of the goods or accruing in respect of the goods supplied.
b) Loss or damage due to fair wear and tear and negligence or improper use, operation, storage and or handling.
12) Title and Risk
a) Title to the goods shall be retained by Vision-UK until the customer has made full payment.
b) The risk of the goods shall pass to the customer upon delivery.
13) Severability
The invalidity of any individual provisions of these conditions shall not affect the validity of the remaining provisions.
14) Governing Law
The terms and conditions of sale in all respects to be governed and constructed with accordance of English law.
